Terms of Service

These Terms are an agreement between you and MRSLM Group LLC, a Florida limited liability company, 7095 Hollywood Blvd Ste 484, Los Angeles, CA 90028, United States (support@cellbrook.com) (“we”, “us”). They cover the Cellbrook add-ons for Google Sheets™, namely MapRows, CalendarRows and LabelRows, and cellbrook.com (together, the “Service”). By installing or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.

1. The Service

• MapRows converts addresses and coordinates in your spreadsheet into geographic results: coordinates, address parts, distances, travel times and map images. These results come from third-party data providers (section 6).
• CalendarRows creates, updates and deletes events in your Google Calendar from spreadsheet rows, and imports calendar events into your spreadsheet.
• LabelRows creates Google Docs laid out for printing labels and name badges from spreadsheet rows.

The features and limits of each plan are described on our pricing page, on each add-on's page and in the add-on.

2. Plans, billing and cancellation

• Free plan. Each add-on includes free use within the limits shown in the add-on (currently: MapRows 100 lookups per day; CalendarRows 50 calendar changes per day and imports of up to 100 events; LabelRows five label sizes and up to 60 labels per document). We may change free limits with notice in the add-on.
• Pro plan. A paid subscription billed monthly or yearly, where it is offered for an add-on. MRSLM Group LLC is the seller. Payments are processed by Stripe. Prices shown include any applicable sales tax, VAT or GST, which we collect and pay where required. Nothing is added at checkout.
• Automatic renewal. Subscriptions renew automatically at the end of each period, at the then-current price, until you cancel. For yearly plans we email a reminder between 15 and 45 days before each renewal. We give existing subscribers at least 30 days' notice by email before a price increase applies to their next renewal.
• Cancellation. Cancel anytime through the customer portal linked in the add-on (Account → “Manage or cancel subscription”) or by emailing support@cellbrook.com. Pro stays active until the end of the period you paid for.
• Refunds. As set out in our Refund Policy, which is part of these Terms: a full refund of your first payment if you ask within 14 days, and of a yearly renewal if you ask within 14 days of the renewal charge. UK and EU consumers also have a statutory right to cancel within 14 days of purchase.
• Fair use. Pro daily allowances (currently 2,500 MapRows lookups on shared capacity, or 2,000 CalendarRows calendar changes) may occasionally run out for the day. When they do, your work pauses and can be resumed. Abusive or automated bulk use that degrades the Service for others may be limited.
• License keys are personal to the purchaser and limited to the number of activations stated at purchase. Do not share or resell them.

3. Your content

Your spreadsheet data, calendar events and documents remain yours. You give us only the permissions needed to process the data you select so we can provide the Service, as described in our Privacy Policy. You are responsible for having the right to process the addresses, email addresses and other data you submit, including other people's personal data, and for complying with applicable law, including privacy law, when you do.

4. Acceptable use

You must not use the Service to: break the law; track, stalk or harass people; send unsolicited calendar invitations or spam; build a competing geocoding database or resell raw results as a data product; get around usage limits, licensing or security; reverse engineer the Service except where the law allows; or overload it with automated requests.

5. Results and accuracy

Geocoding, routing and map results are estimates. They can be inaccurate, incomplete or out of date. Do not rely on them for emergency services, navigation safety, legal boundaries, or other decisions where an error could cause harm. Check results that matter.

CalendarRows changes your calendar as your rows instruct, including deleting events marked for deletion. Use Preview and check dates, times and time zones before you send. LabelRows layouts follow published label dimensions, but printers vary. Print a test page before using label stock. We are not responsible for wasted label sheets or for calendar changes made as your spreadsheet instructed.

6. Third-party data and attribution

MapRows results are provided by Geoapify using OpenStreetMap data, © OpenStreetMap contributors, available under the Open Database License (ODbL). You may keep and use the results stored in your spreadsheets. If you publish them, or a map made from them, keep the attributions “© OpenStreetMap contributors” and “Powered by Geoapify” and follow the ODbL where it applies. If you use your own Geoapify key, your agreement with Geoapify governs that use.

Google Sheets, Google Calendar, Google Docs and Google Drive are trademarks of Google LLC. The Service is not affiliated with or endorsed by Google, and your use of Google's services is governed by Google's terms. Avery is a registered trademark of Avery Products Corporation. LabelRows is not affiliated with or endorsed by Avery.

7. Availability and changes

We aim to keep the Service available but cannot guarantee uninterrupted operation. It depends on Google, Geoapify and Stripe. We may change or discontinue features. If we discontinue Pro, we will refund the unused part of any prepaid period.

8. Disclaimer

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, MRSLM GROUP LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR US$50 IF YOU PAID NOTHING. Nothing in these Terms limits liability that cannot be limited by law, or your statutory rights as a consumer.

10. Indemnity

If you use the Service for business purposes, you agree to defend and indemnify MRSLM Group LLC against third-party claims arising from your content or from your breach of these Terms.

11. Termination

You may stop using the Service and uninstall it at any time. We may suspend or end your access if you materially breach these Terms. Sections 3 to 6 and 8 to 12 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. The courts located in Florida have exclusive jurisdiction, except that consumers may bring claims in the courts where they live if the law gives them that right. Please contact support@cellbrook.com first. Most problems can be solved quickly.

13. Changes to these Terms

We may update these Terms. We will post the new version here with a new date and, for material changes, tell you in the add-on or by email. If you keep using the Service after the changes take effect, you accept them.
